KörperForce Clinic & Team Agreement

This Clinic & Team Agreement ("Agreement") is between KörperForce Human Performance, LLC ("KörperForce," "we," "us") and the clinic, practice, team or organization named in the signature below ("Clinic," "you"). It applies when you use a Clinic or team plan of the KörperForce HRV Dashboard (the "Service") to record or manage data about other people ("Clients"), such as patients, clients or athletes. It adds to our Terms of Service and Privacy Policy.
1. Your authority
The person signing confirms they are authorized to accept this Agreement on behalf of the Clinic.
2. Client consent
Before recording, storing or sharing a Client's data in the Service, you will get any consent the law requires. That includes informing Clients that their physiological data (such as heart rate, heart rate variability and skin conductance) will be recorded and stored with KörperForce's service providers as described in our Privacy Policy. For Clients under 18, you will get consent from a parent or legal guardian.
3. Your legal responsibilities
You are responsible for using the Service in line with the laws and professional rules that apply to you, including health-privacy laws. If you are a healthcare provider or other organization subject to HIPAA or similar laws, you are responsible for deciding whether and how your use of the Service meets those requirements. Unless KörperForce has signed a separate Business Associate Agreement with you, do not use the Service to store protected health information in a way that would require one.
4. Wellness use, not diagnosis
The Service is a training, relaxation and wellness tool. It is not a medical device and must not be used to diagnose, treat or monitor any disease or condition. You will not present its readings to Clients as medical results.
5. Access and sharing
You decide who in your Clinic can sign in and which records are shared with other accounts. Keep your accounts secure, share Client records only with people who need them, and tell us promptly at info.korperforce@gmail.com if you believe an account or Client data has been accessed without permission.
6. Client requests
If a Client asks to see, correct or delete their data, you will handle the request, and we will help where the Service allows (for example, exporting or deleting their records).
7. Seats and data when plans change
Your plan includes the number of seats you pay for. If your seats or plan go down, existing Client records are kept, but you can't add new Clients until you have enough seats again. If you close your Clinic account, you are responsible for exporting any records you need to keep before deletion.
8. Our role
KörperForce stores and processes Client data only to provide the Service to you, as described in the Privacy Policy. We do not sell Client data or use it for advertising.
9. Indemnity
You agree to indemnify KörperForce against claims by Clients or others that arise from your failure to get required consent or to follow the laws that apply to you.
10. Changes and governing law
If we update this Agreement, you will be asked to sign the new version before adding new Clients. This Agreement is governed by the laws of the State of Colorado.
